Imaris Satellite License Policy
Purpose and Status of this Policy
This Satellite License Policy describes the operational rules and conditions under which Andor Technology Limited or Andor Technology Inc. (OI”) may make a Satellite License available in connection with the Imaris software.
This Policy is not a contract and does not amend or replace the Imaris End User License Agreement (“EULA”) or the Software Maintenance Agreement (“SMA”).
All use of Satellite Licenses remains subject at all times to the EULA and, where applicable, an active SMA. In the event of any inconsistency, the EULA and SMA prevail.
For clarity, the Imaris primary software license granted under the EULA is a permanent license. A Satellite License described in this Policy are supplementary Software Maintenance Services and do not form part of the permanent license grant.

- Requires a valid Imaris license with an active Imaris Maintenance Plan, Software Maintenance Agreement (SMA).
- Satellite access ends automatically if Imaris Maintenance Plan coverage (or license access) expires or is terminated.

Benefit Snapshot:
- Satellite licenses are provided on a best‑effort basis; availability and quantity not guaranteed.
- Issued for off-site only, temporary periods up to 30 days. Automatically expires at the end of the approved period.
- One user at a time; the same individual cannot use consecutive periods.
- Up to 120 total days per license per calendar year.
- Unused days do not roll over and are forfeited immediately should Imaris Maintenance Plan expire.
- Usage allowance is a service limit, not a contractual right.

What is a Satellite License?
A Satellite License is a limited, temporary license that allows the Imaris software to be installed on one additional computer solely for off‑site data analysis purposes.
Satellite Licenses are intended to support occasional, short‑term remote use, such as working from home or delivering off‑site presentations.
Use of a Satellite License at the licensed Site is strictly prohibited and constitutes a material breach of the EULA.
A Satellite License is available only to customer accounts that:
- Hold a valid Imaris license; and
- Have an active Imaris Software Maintenance Agreement in place.
If an SMA expires or lapses, access to the Satellite License (and any related benefits) will cease automatically.
While a customer’s primary Imaris license is permanent, a Satellite License is available only while an active Imaris Software Maintenance Agreement is in place and cease automatically upon expiry or termination of that agreement.
- Each Satellite License is issued for a fixed, temporary period, determined by OI, and will not exceed 30 days per issuance.
- Satellite Licenses automatically expire at the end of the approved period and cannot be extended or renewed automatically.
- A Satellite License may be used by one user at a time and may not be used by the same individual for consecutive periods.
As part of the Satellite License offering, OI may make available a maximum aggregate usage of 120 days per calendar year (across all Satellite Licenses issued to an account).
Key clarifications:
- Any annual usage allowance is a service limit, not a contractual entitlement.
- Unused days do not roll over to subsequent calendar years.
- OI may adjust or withdraw annual usage limits at its discretion, subject always to the EULA and SMA.
For organisational accounts, a designated Site Leader or administrator may be required to request or manage Satellite License issuance on behalf of the account.
Satellite Licenses may only be allocated for off‑site use and for durations within the limits described in this Policy.
OI monitors license usage to ensure compliance with the EULA and this Policy.
By using a Satellite License, customers acknowledge and agree that OI may:
- Monitor installation and usage patterns.
- Verify compliance with off‑site, duration, and user restrictions; and
- Take corrective action where misuse or abuse is identified.
If OI reasonably determines that a Satellite License are being misused or abused, OI reserves the right to take one or more of the following actions:
- Suspend or withdraw a Satellite License for the relevant account.
- Reduce or remove any remaining Satellite License usage for the current calendar year.
- Refuse to issue further Satellite Licenses; and/or
- Suspend or terminate the customer’s use of the Imaris software in accordance with the EULA.
Satellite License are provided on a best‑efforts basis. OI does not guarantee the availability, timing, or quantity of Satellite Licenses and may suspend or discontinue the service at any time.
OI may update this Satellite License Policy from time to time to reflect operational, technical, or regulatory changes.
Continued use of a Satellite License following publication of an updated Policy constitutes acceptance of the revised Policy, subject always to the EULA and SMA.
